Нееее, давайте контекст. Есть ситуации, когда introducing реально важно. Например, на фьючерсных рынках есть introducing brokers и floor brokers. Если подойдет по контексту, можно попробовать "агент-посредник"... |

1. INTERPRETATION 1.1 In this Agreement, the following words shall have the following meanings unless the context otherwise requires; ‘the Act’ means the Financial Services and Markets Act 2000 as amended from time to time; ‘FCA ’ means the Financial Conduct Authority which is the Authority responsible for the regulation of the Financial Services Industry, within the United Kingdom; ‘Customer’ means the person for whom the Company agrees to open one or more accounts subject to a Customer Agreement and who is introduced to the Company by the IA; ‘Customer Agreement’ means the Company’s Customer Agreement and associated documentation in the form, as may be required by the Company from time to time; ‘Investment’ means any investment as defined within the Financial Services and Markets Act 2000; ‘Investment Agreement’ means any agreement, the making or performance of which by either party constitutes an activity which falls within the Financial Services and Markets Act 2000. 1.2 Headings are for ease of reference only and shall not affect the interpretation hereof. ADM 2. SERVICES 2.1 The LA shall provide the following services to the Company subject to any restrictions contained in this Agreement or which may from time to time be notified in writing by the Company to the IA in accordance with Clause 13.3, but shall at no time proffer trading or investment advice to the customer; a) procuring or endeavouring to procure the persons with whom the IA deals to enter into investment agreements with the Company; b) such procurement is made or introduced with all due diligence exercised at all times. 2.2 The IA shall provide the above services to the Company with effect from the date of this Agreement for an initial period of 12 months, extendible thereafter on a 12 monthly basis in the absolute discretion of the Company. Subsequent to the initial period, termination shall be subject to Clause 11 herein. 3. CUSTOMER RELATIONS 3.1 The IA shall not use the Company’s name, advertise the Company’s services or distribute literature describing or implicating the same without the prior written consent of the Company. The IA shall give the Company reasonable written notice of any request for such consent. 4. OBLIGATIONS OF THE IA 4.1 The IA agrees to act within a compliant manner strictly in accordance with the rules of FCA, and/or other appropriate regulatory authority, where applicable. Accordingly the IA will comply with any directive, notice or order from the Company’s Compliance Department with respect to the rules of FCA and/or other appropriate regulatory authority. 4.2 All contracts with Customers introduced by the IA will be concluded directly between the Company, its Clearer (in the event that the Company utilises the services of a third party Clearer) and the Customer. The IA has no authority to conclude any contracts on behalf of the Company. The IA shall not make any representation or warranty other than one authorised by the Company. 4.3 By signing this Agreement, the IA warrants that it has the right and power to effect introductions to the Company as envisaged by this Agreement and the effecting of such introductions will not, and shall not be considered, to constitute a breach of any duty of confidentiality or other contractual obligation owed by the IA to any third party. |
