The quality of the Services provided by the Service Provider shall be dependent on the Client carrying out its responsibilities as set out in the Engagement Letter. Any timing or fee estimate the Service Provider may provide in the Engagement Letter takes into account the levels of Client assistance and Client resources detailed therein. The Service Provider shall therefore not be held liable for any delay or any other consequences resulting from the Client’s failure to perform any of its obligations as provided for in the Engagement Letter.
