Стороны обязуются в течение 30 (Тридцати) календарных дней со дня подписания настоящего Дополнительного соглашения заключить договор залога прав требования по которому Поставщик в качестве обеспечения своих обязательств по Договору передает в залог Покупателю свои права требования исполнения обязательств, вытекающих из договора, заключенного между Поставщиком и Изготовителем. В случае уклонения Поставщика от заключения вышеуказанного договора залога Покупатель имеет право расторгнуть настоящий Договор, при этом все платежи уплаченные Покупателем на момент расторжения настоящего Договора подлежат возврату на расчетный счет Покупателя в течение пяти банковских дней со дня расторжения Договора.

Within 30 (thirty) calendar days from the date of signature of this Addendum, the Parties hereby agree to conclude a receivables pledge agreement according to which the Supplier pledges to the Customer their rights to demand performance under the Agreement arising from a contract between the Supplier and the Manufacturer, as security for obligation under the Agreement. In case of avoidance of the conclusion of the aforesaid Receivables pledge agreement, the Customer has the right to terminate this Agreement, provided that all payments made by the Customer at the time of termination of this Agreement shall be repayable to the Customer’s bank account within five banking days from the date of termination of the Agreement.

Права требования исполнения обязательств по Договору - rights to demand performance under the Agreement? Или как-то без performance можно обойтись?
