Dear colleagues,

I am translating an Exclusive partnership agreement and need some help for this expression (part of the Confidentiality and Non-circumvention clause) :

"...will not re-place or circumvent the one and other" ...

Here is the full paragraph and sentence in question:
"Before filing each Tender both Parties shall treat the existence and details of this Agreement, their mutual relationship and affairs as well as the contents of any Tender and related data as confidential.
After the filing of a Tender the Parties will not re-place or circumvent the one and other with respect to the Tender and project in question."

I think it means something like this:

Стороны обязуются не заменять условия тендера и не вводить друг друга в заблуждение.

если non-circumvention - необход
то тогда здесь (ИМХО) скорее оговаривается то, что стороны не будут работать в обход друг друга, т.е. обращаться напрямую к Contracting Authority (здесь)

Контекст не оставляет никаких сомнений. Речь идет о работе партнеров только в связке.
