Описание:
Ordinarily on a placing a company is limited to issuing shares representing 5% of the company's issued share capital. This is because 5% is the maximum disapplication of pre-emption rights which the Pre-emption Group, in its Statement of Principles, will permit a listed company to seek on an annual basis.

On a cash box placing, the issue of shares is structured so that the consideration for the issue is "otherwise than for cash" for the purposes of section 89 of the Companies Act 1985 and so pre-emption rights do not apply to the issue. Rather than cash, the consideration for the issue is shares in a special purpose vehicle to which the placing proceeds have been paid. A cash box is often used therefore to enable a listed company to issue shares representing up to 10% of its issued share capital. (If a listed company issues shares representing 10% or more of its issued share capital, it would trigger an obligation to produce a prospectus so the issue is kept at just under 10%.)

Только как предположение. Сash box -- касса, копилка, сейф. "Сейфовое" размещение/"сейфовые" схемы?

работу отправил, перевел описательно типа размещение акций через специальные проектные компании (в обход преимущественных прав и 5-процентного порога)
ну и соответственно вариации на эту тему ))
