6.4.1 If an Offeror is entitled and proposes to sell his Shares in accordance with the Third Party Offer pursuant to Section 6.3, the Offeror shall, at least thirty (30) days prior to the date specified for completion of the Third Party Offer, give notice in writing (a “Disposition Notice”) to the Offerees.
6.4.2 Each Offeree shall have the right, exercisable within seven (7) days of receipt of a Disposition Notice, upon notice in writing to the Offeror and the Buyer (the “Piggy-back Notice”), to require the Buyer to purchase all but not less than all of the Shares held by such Offeree, directly or indirectly, at the time of completion of, and upon the same terms and conditions as those contained in, the Third Party Offer.
