5.1 Non-permitted payment
If:
(a) the Subordinated Creditors receives a payment or distribution in respect of any of the Subordinated Debt from the Borrower or any other source other than as allowed under this Agreement; or
(b) the Subordinated Creditors receives the proceeds of any enforcement of any Security Interest or any guarantee or other assurance against financial loss for any Subordinated Debt,
the Subordinated Creditors must hold the amount received by it in the name and for the account of (up to a maximum of an amount equal to the Senior Debt) on trust for the Finance Parties and immediately pay that amount (up to that maximum) to the Facility Agent for application against the Senior Debt.
5.2 Non-permitted discharge
If, for any reason, any of the Subordinated Debt is discharged in any manner other than as allowed under this Agreement, the Subordinated Creditors must immediately pay an amount equal to the amount discharged to the Facility Agent for application against the Senior Debt.
