Subject: provided, however, that the Purchaser shall not be foreclosed from seeking indemnification law Notice of Third Party Claims. If the Purchaser seeks indemnification for any Loss or potential Loss arising from a claim asserted by a third party against the Purchaser (a “Third Party Claim”), the Purchaser shall give written notice to the Seller specifying the event giving rise to the Loss or potential Loss under Section 9.02(a). Written notice to the Seller of the existence of a Third Party Claim shall be given by the Purchaser promptly after notice of the potential claim; provided, however, that the Purchaser shall not be foreclosed from seeking indemnification pursuant to this Article IX by any failure to provide such prompt notice of the existence of a Third Party Claim to the Seller.
