Это название одного из пунктов контракта EPC (Engineering, Procurement and Construction contract). Смысл этого пункта в том, чтобы обязать Генподрядчика (Contractor) купить по Основному Договору Субподряда (Major Subcontract) у определенного Субподрядчика (XXX) не менее 50% оборудования (т.е. потратить не менее 50% денег, для этой цели предусмотренных) у поставщиков в определенной стране (Country A). Непосредственно реализация проекта осуществляется в другой стране (Country B). Контекст ниже (своего перевода этого пункта у меня пока нет): National Content and Sourcing Requirements. Notwithstanding anything in this Agreement to the contrary:
(a) Aggregation Contracts. Contractor acknowledges and agrees that, in connection with the procurement of Equipment pursuant to the terms of this Agreement shall be performed pursuant to a Major Subcontract between Contractor and XXX, pursuant to which XXX will procure all Equipment required for performance of the Work. It is expressly acknowledged and agreed that such Major Subcontract shall require that not less than fifty percent (50%) of the total cost of the Equipment procured thereunder will be incurred, directly or indirectly, in respect of Equipment procured in [Country A]. Contractor acknowledges and agrees that, in connection with the performance of construction services hereunder, it will enter into a Major Subcontract with XXX, pursuant to which the same shall be responsible for the performance of all construction services required hereunder. Not less than fifteen percent (15%) of the total cost of the construction services will be incurred, directly or indirectly, by XXX or any other company registered in [Country A].
(b) Affiliate Entities. It is expressly understood and agreed by the Parties that, in respect of construction services to be performed by Contractor hereunder or pursuant to any Subcontract between XXX and Contractor in respect thereof, that portion of the work to be performed in [Country B] shall be contracted with or performed by an Affiliate of Contract registered to conduct business in [Country B]. For the avoidance of doubt, the foregoing shall not apply to the procurement of Equipment, which may be subcontracted directly (subject to the limitation set forth in Section 2.8(a)) between XXX and Contractor.
