А с чем именно сложности? Слова? Структура? Вы хоть как-то конкретизируйте вопрос, а лучше дайте хоть какой-то свой вариант, чтобы было понятно, что Вы понимаете правильно, а с чём нужно помочь.

Не знаю, уловили ли Вы, что утрачивается не просто "часть приза", а именно та часть, которая связана с отменой соответствуюшего мероприятия, действия и т.п. (я не знаю, что там у Вас за activity): "...that portion of prize...".

Пропустили то, что эта часть теряется _полностью_ (in its entirety). and no substitution or compensation in lieu thereof will be provided except as in Organiser's sole discretion.

Не учли, что "любая замена или компенсация" относится не к призу, а к соответствующей его части, т.е. thereof означает не "of the prize", а "of the forfeited portion".
