Subject: piggy-back Дорогие коллеги,помогите, пожалуйста, с переводом выражения piggy-back. Контекст: DIVESTMENT OF INTEREST BY [FIRST SPECIAL PARTNER]: “PIGGY BACK” TO THE BENEFIT OF [SECOND SPECIAL PARTNER]. Это заголовок. А в одной из статей типа объясняется значение: “Piggy back” - [SECOND SPECIAL PARTNER] shall have the right to advise [FIRST SPECIAL PARTNER] of its wish also to sell to the Third Party Purchaser all the Interest which it holds, which notice must be sent to [FIRST SPECIAL PARTNER] according to the provisions of sub-paragraph 24.1.3 and received by [FIRST SPECIAL PARTNER] at its head office, to the attention of the President and the Secretary, within [NUMBER] juridical days following the time of deliverance of the Notice of Intention to Sell; Вообще ноу айдиас... :( Спасибо заранее!!! |

Вот такое объяснение не прояснит ситуацию? Piggy-back applies to contractual agreements in law, more specifically shareholder selling rights. To apply, the piggy-back clause MUST be included in the corporation's shareholder agreement, which is part of the incorporation materials. If one shareholder decides to sell shares to a third party, and if the sale of the shares would result in a change of control of the corporation, the offeror must notify all other shareholders. The other shareholders can 'piggy-back' into the original shareholders offer to the third party, and offer to sell their shares to the third party for the same agreed upon price. In order to purchase ANY of the shares, the third party must then purchase ALL shares included by the original shareholder, and any subsequent piggy backers. По-русски ближе всего будет "въехать на спине", "с прицепом", по принципу "наездника". |

| Как бы... piggy-back = tag along right = право одновременной продажи акций на тех же условиях/по той же цене, что и продающий акционер; право совместной продажи; право сопутствующей продажи |
