(1) Please refer to the executed Application Form for Interests (the Application Form) previously provided by us to you by which we agreed to subscribe the Commitment set out in such Application Form to the Partnership
(2) Expressions defined in the Application Form shall have the same meanings herein.
(3) Pursuant to paragraph 1.3 on page 5 of the Application Form entitled "Conditions Precedent", certain conditions precedent are to be satisfied before we become a Limited Partner in the Partnership.
(4) We confirm that the conditions precedent set out in paragraph 1.3 of the Application Form have been met.
(5) This letter, and any non-contractual obligations arising out of or in connection with it, shall be governed by English law and paragraphs 1.10 and 1.11 (Forum for Disputes) of the Application Form shall apply to this letter as if set out in full, mutatis mutandis.
