если буквально (что, думается, будет в данном переводе правильным)
matters which fall within the powers of a regular general meeting
по жизни такие вещи у американцев называются reserved matters или matters reserved to (the) shareholders/stockholders, но его лучше в данном случае не использовать, поскольку речь идет не о любом СА, а об "очередном" СА (как правило, им является годовое СА).
