The execution, delivery and performance by the Seller of this Agreement:

(b) does not and will not (or would not with the giving of notice, the lapse of time or the happening or any other event or condition) constitute or result in a breach or violation of, or conflict with or allow any other person to exercise any rights under, any of the terms or provisions of any contracts or other instruments to which any Group Company is a party or pursuant to which any assets or property of any Group Company may be affected;

На русский плохо ложится -
не является и не будет являться (или не могло бы являться при подаче уведомления или по прошествии определенного периода времени или после наступления любого другого события или возникновения любого другого условия) и не приведет к нарушению или несоблюдению каких-либо условий или положений каких-либо договоров или иных документов, стороной которых является...и не будет противоречить им или не позволит (не даст основания) какому-либо другому лицу осуществлять какие-либо права в соответствии с ними...? Надо ли переносить фразу "or conflict with or allow any other person to exercise any rights under", чтобы соблюдать падежи и пр. в русском? В основном, редко кто это делает...
