Пожалуйста, помогите перевести часть фразы: which pledge or security shall not be valid towards the Company, save as otherwise provided by law

Вся фраза:
Notwithstanding any other provisions of the Articles, no share shall be given by a member as a pledge or as security for a loan, debt or obligation without the sanction of the directors, and the directors shall decline to register or recognize any such pledge or security given in contravention of this Article, which pledge or security shall not be valid towards the Company, save as otherwise provided by law.
