Число голосов, которыми обладают лица, включенные в список лиц, имеющих право на участие в общем собрании, не заинтересованные в совершении обществом сделки, по вопросу, поставленному на голосование
как правильнее перевести:
1. Number of votes held by persons included in the list of shareholders entitled to participate in the general meeting without conflict of interests regarding consummation of a deal by the company
или
2. Number of votes held by persons regarding consummation by the company of a deal without conflict of interests, included in the list of shareholders entitled to participate in the general meeting

может есть другие варианты?
