With respect to each such Capital Account, such account shall be credited with such Member's capital contribution to the Company, such Member's distributive shars of profits and any items in the nature of income or gain which are specially allocated pursuant to the "Administrative Allocations" and the "Special Depreciation Allocations" and the amount of any Company liabilities assumed by such Member or which secured by assets distributed to such Member; and such Member's Capital Account shall be debitd by the amount of cash and the gross asset value of any assets distributed to such Member, such Member's distributive share of losses and any items in the nature of expenses or losses which are specially allocated pursuant to the "Administrative Allocations" and the Special Depreciation Allocations" and the amount of such Member's liabilities assumed by the Company or which is secured by property contributed to the Company by such Member.
