Immediately following the consummation of the Transaction and thereafter, the Principals and the Participants will own the Subject Shares, of record and beneficially, free and clear of all Liens and proxies, except for any Liens or proxies arising pursuant to this Agreement, the Settlement Agreement and the Loan Agreement.

Саш, похоже на то, что это всетки "доверенность на голосование" - и довольно стандартная фича - к примеру:
Shares, free and clear of Liens, proxies, powers of attorney, voting trusts or agreements (other than any Lien or proxy created by this Agreement ...)
с чем это связано - гадать не стану. нужен ресерч. но думаю, что не без причины :) прецеденты, однако (с)
получается, что "права третьих лиц" слишком широко захватывает.
чиста ИМХО
