A waiver of any breach of a provision hereunder shall not be binding upon either Party unless the waiver is in writing.

A waiver of any breach of a provision hereunder shall not be binding upon either Party unless the waiver is in writing. The failure of either Party at any time to insist upon the strict observance of any of the provisions of this Contract, or to exercise any rights in respect thereto, or to exercise any election herein provided, shall not be construed as a waiver of such provision, right, or election, or in any way affect the validity of this Contract. The exercise by either Party of any of its rights of election hereunder shall not preclude or prejudice such Party from exercising any other right it may have under this Contract.
