secured by a charge

Уважаемые коллеги,
пожалуйста, помогите разобраться в терминах pledge и charge в рамках приведенного ниже контекта. Если под пунктом (а) идет речь о залоге имущества заемщика, то под (б) - charge своей многозначностью просто сбивает с толку. Непонятно также какой эквивалент подобрать к Share Charge - залоговая доля???

Выражение встречается в следующем контексте:
The Loan shall be secured by (a) a pledge, in favor of the Lender, of the assets owned by the Borrower and in accordance with the terms and conditions of a pledge agreement of even date with this Agreement concluded between the Parties (the “Pledge Agreement”); and (b) a charge in favor of the Lender granted by certain shareholders in VML, of even date with this Agreement (the “Share Charge”).
