Subject: Проясните понятие - Forfeiture of shares law
Прочитала я про это самое forfeiture в МТ, но еще больше запуталась....

О чем здесь идет речь? Об утрате прав на акцию, обращении взыскания на акцию, конфискации, изъятии или другом?

"Forfeiture of shares. (заголовок статьи из устава БВО)

Where shares of the company are issued for a promissory note or other written biding obligation to contribute money or property and the tersm of the promissory note or other written binding obligation are not met:

а) Written notice specifying a date for payment to be made shall be served on the member who defaults in making payment pursuant to the promissory note or other written binding obligation to pay a debt;

b) The written notice referred to in a) above shall name a further date not earlier than the expiration of 14 days from the date of service of the notice on or before which the payment required by the notice is to be made and shall contain a statement that in the event of non-payment at or before the time named in the notice the shares, or any of them, in respect of which payment is not made will be liable to be forfeited;

с) Where notice has been issued and the requirements of the notice have not been compiled with, the directors may, at any time before tender of payment, by resolution of directors forfeit and cancel the shares to which the notice relates;

and the Company shall have no obligation to refunв any monies to the member whose shares have been cancelled and that member shall be discharged from any further obligation to the Company."

forfeiture of shares - потеря права на акции; если покупатель вовремя не оплатил подписную цену или не сделал взноса по частично оплаченным акциям, то вычеркивается из реестра акционеров

Reminder of the basic rule:

Tom is given shares by his employer at no cost but on terms that if certain performance targets are not met, the shares will be handed back. Subsequently Tom meets the performance criteria and the forfeiture condition is removed. Tom may or may not be chargeable to Income Tax on initial receipt of the shares (depending on the exact nature of the condition): but he will be exposed to a charge on the growth in value of his shares up to the date the forfeiture condition is lifted.
