Bridge Financing A method of financing, used by companies before their IPO, to obtain necessary cash for the maintenance of operations. These funds are usually supplied by the investment bank underwriting the new issue. As payment, the company acquiring the bridge financing will give a number of shares at a discount of the issue price to the underwriters that equally offsets the loan. This financing is, in essence, a forwarded payment for the future sales of the new issue. Bridge Loan A short-term loan that is used until a person or company secures permanent financing or removes an existing obligation. This type of financing allows the user to meet current obligations by providing immediate cash flow. The loans are short-term (up to one year) with relatively high interest rates and are backed by some form of collateral such as real estate or inventory. Also known as "interim financing", "gap financing or a "swing loan". As the term implies, these loans "bridge the gap" between times when financing is needed. They are used by both corporations and individuals and can be customized for many different situations. For example, let's say that a company is doing a round of equity financing that is expecting to close in six months. A bridge loan could be used to secure working capital until the round of funding goes through. In the case of an individual, bridge loans are common in the real estate market. As there can often be a time lag between the sale of one property and the purchase of another, a bridge loan allows a homeowner more flexibility. |

Equity injection In most project financings, the project sponsor is required to contribute equity to the project. Project sponsors often prefer to defer the injection of their equity to completion of the project. For example, in the case of large construction companies which will often prefer to inject equity at the latest possible time so as to minimise the time in which sponsor cash is locked up in the project. Other sponsors, on the other hand, (particularly financial and constitutional investors) may prefer, however, to inject equity at financial close in the form of subordinated debt and receive (or accrue) a debt return on that "equity" until completion. Where the project sponsor prefers to defer injection of their equity to completion, often the obligation to contribute equity is documented as an obligation to contribute upon the earlier of completion, the occurrence of an event of default, and a specified date. Where equity is "back ended" in this manner, the project financier may be asked to fund that equity from financial close to completion. If provided, this funding, or debt tranche, is in addition to the traditional limited recourse project debt tranche and is often referred to as an "equity bridge" facility. Financiers usually require that these equity bridge facilities be secured by letters of credit from banks with a specified credit rating or, if the sponsor is itself rated, by a corporate guarantee from the sponsor. |

заставил-таки! :-) Даниил, если я поняла правильно, пробежавши по гуглю, Equity bridge facility - это bridge loan, выдаваемый заемщику, который он вносит в виде своей доли в equity - капитал какой-то компании (созданной под проект). Что касается названия - не уверена, что кредитную линию (кредит) можно технически "конвертировать". Я бы не стала употреблять этого слова. Может, лучше, кредит на... / для... внесения доли в капитал ... как-то так, в общем, описательно. А вообще, голова болит после вчерашнего, не трогайте меня :-) |
