Hope this helps. Глобальная нота - это глобальный сертификат, представляющий весь выпуск облигаций. более подробно ниже - достаточно подробно. Global note The form of the bonds (whether in global or definitive form and whether bearer notes or registered notes) are usually contained as schedules to either the fiscal agency agreement or trust deed. The global note is then produced as a separate document for closing, and is signed by the issuer. There are two types of global notes, classic global notes and new global notes that are used for bonds that are intended to be recognised as eligible collateral in Europe. The global note contains: A description of the issue and the parties. Terms and conditions of the bonds. Payment provisions (for example, coupons on a definitive bond or schedules to record payments on classic global notes). Global notes contain a provision allowing them to be exchanged into definitive bonds in very limited and unlikely circumstances (for example, if the clearing system in which the bonds are held closes). Because of this possibility of the bonds being produced in definitive form, the terms and conditions are usually drafted as if the issue were in definitive form. See Terms and conditions. |
