Фраза из протокола о намерениях:
уставный капитал созданного юридического лица составляется из номинальной стоимости долей сторон. Размер уставного капитала определяется в российских рублях. На момент гос. регистрации юр. лица его уставный капитал должен быть оплачен сторонами полностью.

Мой вариант:
- Charter capital of the formed legal entity is composed from the face value of the Parties’ shares. Charter capital dimension is defined in Russian Rubles. As from the date of the state registration of the legal entity the Parties in full should pay up its charter capital.

- Authorized capital/stock of a newly formed/established corporate entity is composed of the aggregate par value of subscribers. Authorized capital is denominated in Russian Rubles. Authorized capital shall be fully paid prior to or on the date of state registration. Imho

Как вариант:
... shall be comprised of the par value of the Parties' share interests. The amount of the authorised capital is denominated in RUR. By the date of state registrtion of the legal entity its authorised capital is to be paid up in full by the Parties.

вместо share interests можно еще equity intersts
